Terms of Use and Conditions
These Terms regulate the contracting and use of service plans offered by people to you, which consist of organizing, monitoring and structured execution of strategic Initiatives.
Object
These Terms regulate the contracting and use of service plans offered by people to you, which consist of organizing, monitoring and structured execution of strategic Initiatives, according to the plan chosen by the client. Each plan defines the number of simultaneously active Initiatives, the frequency of follow-up meetings, the report format and response time levels.
Service Nature
People to you provides services of a continuous strategic and operational nature, acting as a coordination and execution hub for the Initiatives defined by the contracting Account. This is not an employment relationship, internal team outsourcing or unrestricted on-demand availability. The service is structured according to the governance model, meetings and limits of the contracted plan. Details about follow-up rhythm, response times and service levels are described in the Service Level Agreement (SLA).
Service Fronts
Initiatives can be structured across four service fronts, which can be combined according to the nature of the challenge: Business Design Focused on strategy, positioning and business model. Includes diagnosis of current scenario, identification of market opportunities, conceptualization of new businesses or services, strategic roadmap and structuring of new units or spin-offs. Product Design Focused on conception, validation and evolution of digital products. Includes product definition, user research, experience and interface design (UX/UI), MVP development, data-driven iteration and scaling. Operations Design Focused on efficiency, processes and routines. Includes flow mapping, responsibility documentation, ceremony redesign, tool selection and configuration, operational dashboards and team enablement. Applied Technology Focused on automation, integration and artificial intelligence. Includes system automations, AI-powered chatbots and assistants, strategic websites with advanced tracking, CRM integrations, campaign setup and performance dashboards.
Plans and Limits
Each plan establishes: • Maximum number of simultaneously active Initiatives • Frequency of follow-up meetings • Periodicity of reports • Estimated response time for demands • Limit of Leaders per Account, when applicable The Initiative backlog is unlimited in all plans. However, only Initiatives within the contracted plan's active limit will receive continuous follow-up and structured execution. If the client wishes to activate more Initiatives than provided in their plan, migration to a higher plan will be necessary.
Effective Date
The plan's validity begins on the payment confirmation date of the first monthly fee. The follow-up cycle starts counting from the first meeting scheduled between the parties.
Payment and Price Adjustments
Plans have recurring monthly billing. Payment must be made by the date agreed in contract or commercial proposal. Non-payment may result in: • Temporary suspension of activities • Suspension of scheduled meetings • Pause in Initiative follow-up After regularization, activities will resume according to schedule availability. Price adjustments: Plan prices may be adjusted periodically to reflect variations in operational costs, inflation or service improvements. Adjustments will be communicated with minimum 30 days notice. Adjustments will only apply to Accounts with at least 12 months of active tenure. Accounts with less than 12 months maintain their original contracted price until completing this period. After 12 months, the new price takes effect in the next renewal cycle. If the client does not agree with the adjustment, they may request cancellation according to the non-renewal rules provided in these Terms, without penalty.
Cancellation, Pause and Non-Renewal
The client may request non-renewal of the plan at any time, with minimum 15 days notice before the next renewal date. During the notice period, services continue to be provided normally. If the notice period extends past the cycle renewal date, the plan will be renewed and termination will occur at the end of the next complete cycle. Practical example: If the plan cycle renews on the 10th and the client requests cancellation on April 1st, the 15-day notice extends until April 16th. Since it goes past the April 10th renewal, the plan renews normally on that date and ends on May 10th. To avoid the April 10th renewal, cancellation would need to be requested by March 26th (15 days before). There is no commitment or termination penalty, unless there is a specific clause agreed in an individual contract. Amounts already paid for the current cycle are not refundable. Temporary pause: The client may request a plan pause for up to 3 months, upon prior agreement with people to you. During the pause period, there is no charge and backlog Initiatives are preserved. Return occurs under the same conditions as the plan in effect before the pause.
Plan Change
The client may request migration to a higher plan at any time. The change takes effect in the following cycle. Migration to a lower plan may also be requested, respecting 15 days notice and applying from the next monthly cycle.
Client Responsibilities
For the service to work properly, the client commits to: • Designate Leader(s) with decision-making autonomy • Participate in follow-up meetings • Provide necessary information, access and validations • Respond to requests within established reasonable deadlines Recurrent absence of responses or validations may impact the pace of Initiative progress, not characterizing non-compliance by people to you.
Scope Limitation
The contracted service refers to the organization, follow-up and execution of Initiatives according to the presented model. Extraordinary demands that fall outside the continuous strategic and operational nature may be treated as additional projects, through a specific proposal. People to you may offer complementary products and services in parallel to support plans, such as licenses for automations, chatbots, software, infrastructure and other technological solutions. These products have their own plans, prices and conditions, independent of the contracted support plan. People to you is not responsible for results arising from decisions that have not been validated within the structured follow-up process.
Intellectual Property
Materials, strategies, documents and deliverables developed specifically for the Account during the contract's validity become for use by the contracting Account. Technological products developed by people to you — such as automations, chatbots, software, integrations and infrastructure solutions — remain as exclusive intellectual property of people to you. When made available to the Account, these products are offered under a license agreement, according to each product's specific conditions. Internal tools, proprietary methodologies, frameworks and conceptual structures of people to you are not transferred to the client under any circumstances. People to you maintains the right to use generic learnings and developed methodologies, without exposing confidential client information.
Confidentiality and Data Protection
All strategic, operational and financial information shared is treated as confidential and will not be disclosed to third parties without prior authorization from the Account, except when required by law. People to you is committed to personal data protection in compliance with Brazil's General Data Protection Law (LGPD - Law No. 13.709/2018), GDPR and other applicable regulations. Personal data collected during service provision will be processed exclusively for purposes related to the contract's object. We adopt appropriate technical and administrative measures to protect data against unauthorized access, loss, alteration or any form of inadequate processing. Data is stored in secure environments with restricted access controls. The Account may exercise its rights as data subject, including access, correction, deletion and portability, through formal request. The commitment to confidentiality and data protection remains valid even after the termination of the contractual relationship.
Liability Limitation
People to you commits to technical and strategic diligence in executing Initiatives, but does not guarantee specific financial results, since business performance depends on multiple external and internal factors under the Account's control.
Terms Revisions
These Terms may be updated to reflect operational, strategic or legal changes. Relevant changes will be communicated with minimum 30 days notice. Updates take effect for all active plans from the effective date, unless otherwise specified. Continued use of services after changes take effect implies acceptance of the new Terms. If the Account does not agree with the changes, it may request plan cancellation according to the non-renewal rules provided in these Terms.
